Beta Participant Agreement

Effective Date: February 17, 2026

1. Beta Program Overview

Vistaly, Inc. ("Vistaly," "we," "us," or "our") offers a beta program providing early access to AI-powered features for insight extraction and synthesis from customer interviews. These features are under active development, may change at any time, and are provided "as is." Beta features are not covered by any standard service level agreement (SLA).

2. Enrollment Requirement

To be fully enrolled in the beta program, you must upload at least three (3) interviews to the Vistaly platform. If you have uploaded fewer than three interviews, you are considered a provisional participant and the data usage permissions described in Section 3 do not apply.

3. Data Usage in the Beta Program

By participating in the beta program and meeting the enrollment requirement, you grant Vistaly permission to:

• Access and review your uploaded interview recordings and transcripts to build quality evaluation benchmarks;
• Use your interview data internally to evaluate, test, and improve AI insight extraction and synthesis capabilities;
• Conduct such review through Vistaly personnel under strict confidentiality obligations, limited solely to improving beta features;
• Share interview data with Product Talk LLC, our development partner for the beta program, under confidentiality obligations consistent with those described above, solely for the purpose of building and evaluating beta features.

4. What Vistaly Will Not Do

Vistaly will NOT:

• Train third-party AI models on your data;
• Create embeddings or model weights that are shared across customers;
• Share your individual interview data with other customers, partners, or external parties, except as described in Section 3;
• Sell your data or use it for advertising purposes;
• Make your interview content publicly available.

5. Relationship to Other Policies

This Beta Participant Agreement supplements our standard Terms of Service and Privacy Policy. Where this agreement conflicts with those policies, this agreement controls for beta participants.

For clarity, the internal human review described in Section 3 constitutes "improvement of services" consistent with our Terms of Service and is NOT AI model training as referenced in our Privacy Policy.

6. Feedback

Any feedback, suggestions, or ideas you provide regarding the beta features grant Vistaly a perpetual, royalty-free, worldwide license to use, modify, and incorporate such feedback into our products and services without obligation to you.

7. Changes

We may update this agreement from time to time. We will notify enrolled beta participants of any material changes to these terms.

8. Termination

You may withdraw from the beta program at any time by contacting us at support@vistaly.com. Upon withdrawal, we will cease any further review of your interview data. Data that has already been reviewed may be retained in anonymized or aggregated form as part of evaluation benchmarks.

9. Governing Law

This Beta Participant Agreement is governed by and construed in accordance with the laws of the State of Delaware. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
